Partner Vendor - Terms & Conditions
Category: PHOTOGRAPHY
The following terms & conditions delineate the provision of services by the Partner Vendor in connection with wedding planning services offered by Somewhere Crazy to its clients.
These terms and conditions apply to all forthcoming bookings until further notification.
Acceptance of any booking by the Partner Vendor implies acceptance of these terms and conditions*.
*Please note that no further contract is required beyond the acceptance of each booking and the agreement on the service fee between Somewhere Crazy and the Partner Vendor.
1. Service & Products Description, Delivery & Fee
1.1. Description of the Service & Final Products
The Partner Vendor agrees to provide the following services and products:
4-5 hours of photoshoot coverage capturing the essence of the special day, starting at the couple’s accommodation and moving to a couple of additional locations previously agreed with Somewhere Crazy
Digital delivery of a minimum of 250 photos professionally edited, in high resolution and web-sized, ensuring they meet the highest standards
Digital delivery of a minimum of 7 teaser photos, building anticipation and excitement for the final gallery
1.2. Delivery Time & Agreement
The Partner Vendors providing photography is obligated to deliver:
Teaser photos: within 10 days from the event date.
Final product of 250 photos professionally edited: no later than 5 months from the event date.
Any delays in delivery beyond this timeframe must be communicated promptly to Somewhere Crazy, and the parties will work together to establish a new delivery schedule if necessary.
The Partner Vendor agrees to deliver the final product directly to Somewhere Crazy (not the couple)
1.3. Fee for the Partner Vendor's Services
The fee for the services provided by the Partner Vendor is agreed upon via email between Somewhere Crazy and the Partner Vendor.
The Partner Vendor is expected to proactively communicate any changes in fees, particularly increases from one season to another.
Failure to do so will result in the assumption that the previously charged price remains unchanged.
1.4 Editing work
The Partner Vendor understands and agrees to one request for editing after delivery. The change might requested by either Somewhere Crazy to align with the company brand, or by the couple for personal preferences.
One request for editing (after delivery) is included in this agreement (between the Partner Vendor and Somewhere Crazy).
Any extra adjustments (additional to the first request) will be discussed and agreed upon between Somewhere Crazy and the Partner Vendor.
2. The Booking Process
2.1. Request of availability of the Partner Vendor
Once the booking is confirmed with the client, Somewhere Crazy will initiate communication with the Partner Vendor to inquire about their availability for a specific date or dates related to upcoming elopements.
If the Partner Vendor confirms their availability, Somewhere Crazy kindly requests the Partner Vendor to pre-reserve the date(s) for 14 days.
In the event that Somewhere Crazy does not provide further communication within the 14-day period, the Partner Vendor can release the pre-reserved date, making it available for other potential bookings.
During the 14-day pre-reservation period, if the Partner Vendor receives an inquiry for the same date from another party, the Partner Vendor agrees to inform Somewhere Crazy before accepting any outside booking. This allows Somewhere Crazy to actively decide on the booking of the Partner Vendor’s service.
2.2. Confirmation of the Booking
Upon receiving approval from the couple regarding the selected vendors for the elopement, Somewhere Crazy will proceed to officially confirm the booking with the Partner Vendor.
The Partner Vendor acknowledges the booking confirmation in writing, solidifying the commitment to provide services for the specified event date, at the agreed terms.
2.3. Payment of the Partner Vendor
Following the couple's payment of the 1st installment (which typically occurs between 5 and 7 months before the event date) Somewhere Crazy will pay a booking deposit or reservation fee of up to 30% of the total agreed-upon amount to the Partner Vendor.
This deposit serves as a confirmation of the booking.
The final balance payment (70% of the amount) will be settled by Somewhere Crazy on the event date.
Somewhere Crazy will make any due payments by bank transfer once the invoice is issued by the Partner Vendor.
Any delays in sending the invoice by the Partner Vendor do not affect these T&Cs or the booking.
3. Cancellation & Postponement Policy
3.1. Cancellation of the Elopement by the Client
In the event that the client decides to cancel their elopement, Somewhere Crazy will promptly inform the Partner Vendor.
The Partner Vendor shall keep the full amount of the booking deposit previously paid by Somewhere Crazy for this event, and no more services or payments will be due for this elopement.
3.2. Postponement Option & Treatment of the Booking Deposit
In the event that the client is unable to proceed with the event as initially planned, they have the option to request a postponement of the event date.
The following conditions apply to this postponement option:
The newly proposed event date must fall within the 12 months following the original event date.
The selection of the new event date is subject to mutual agreement and must be coordinated based on the availability of both Somewhere Crazy and Partner Vendors.
In case of postponement, the Partner Vendor shall facilitate the transfer of 50% of the original booking deposit to the newly rescheduled date, while keeping the other 50% as an administration fee to account for administrative and scheduling adjustments.
3.3. Cancellation by the Partner Vendor
In the circumstance that the Partner Vendor becomes unavailable for a confirmed event date, the following policy shall be applied:
The Partner Vendor is obligated to make diligent efforts to identify a suitable replacement for the event, which must be approved by Somewhere Crazy. The replacement should be of similar competence and capability to provide the services originally agreed upon.
The Partner Vendor must ensure that the cancellation or replacement does not result in any additional costs or expenses for Somewhere Crazy. This includes covering any fees or costs associated with securing a replacement vendor, and the transfer of any deposit already paid.
In the event that finding a suitable replacement is either impossible or not approved by Somewhere Crazy, the Partner Vendor is required to promptly refund the entire booking deposit to Somewhere Crazy's designated bank account. This refund must be completed within 7 days of providing notice of unavailability.
4. Nature of Elopements and Flexibility of Services
4.1. Adjustments to Last-Minute Changes
Considering the unique nature of elopements, the Partner Vendor acknowledges and agrees to accommodate last-minute timeline changes that may arise due to uncontrollable circumstances, such as adverse weather conditions.
The Partner Vendor will make reasonable efforts to adapt to such changes while maintaining the quality of services provided.
Please note: the majority of last-minute timeline changes consist of changes within the same day.
4.2. Exclusivity of Booking
To ensure the seamless execution of elopements and the flexibility required to tackle uncontrollable circumstances, Somewhere Crazy requests that the Partner Vendor does NOT book more than one event on the same day of the elopement with Somewhere Crazy.
By refraining from multiple bookings on a single day, the Partner Vendor contributes to the overall flexibility needed to accommodate any unforeseen last-minute changes and guarantee a smooth experience for the couples.
5. Client Relationship and Service Delivery Agreement
It is crucial to clarify that all contractual bookings are exclusively established between Somewhere Crazy and the Partner Vendors.
In essence, Somewhere Crazy is the Partner Vendor’s client and the couple is Somewhere Crazy’s client.
Exclusive Delivery to Somewhere Crazy
Unless otherwise specified by Somewhere Crazy, all teasers and final products (photos and videos) are to be delivered exclusively to Somewhere Crazy. This means that the delivery of such items will be to Somewhere Crazy and not directly to the couple.
This arrangement underscores the pivotal role of Somewhere Crazy in overseeing and coordinating all aspects of the event, ensuring seamless communication between couples and Partner Vendors. It also guarantees that all deliverables are centralized through Somewhere Crazy, enhancing organization and efficiency throughout the event planning process.
6. Use of gallery and video for promotional purposes.
The Partner Vendor agrees that Somewhere Crazy and the other vendors involved in the elopement may use the photos and videos for promotional purposes, including but not limited to marketing materials and social media.
Somewhere Crazy acknowledges and supports the Partner Vendor's right to use the photos and videos for self-promotion, except for those couples that expressly requested not to use their pictures for promotional purposes.
The Partner Vendor agrees to credit Somewhere Crazy as the planner of the elopement as well as tagging & mentioning Somewhere Crazy on social media or other websites.
The Partner Vendor agrees to NOT use (or share) the photos and videos for promotional activities with competitors of Somewhere Crazy.
7. Insurance
The Partner Vendor is solely responsible for securing and maintaining appropriate insurance coverage to protect against any potential liabilities or risks associated with the delivery of their services or goods for the event when required by local laws and regulations. The Partner Vendor’s insurance coverage must comply with all applicable local laws and regulations.
8. Confidentiality & Data Protection
The Partner Vendor may have access to personal data belonging to the clients of Somewhere Crazy, including but not limited to full name, email address, phone number, accommodation address, and others.
The Partner Vendor commits to complying with the General Data Protection Regulation (GDPR) to safeguard the privacy and rights of the clients of Somewhere Crazy, to ensure the responsible handling of personal data, and to comply with all relevant laws.
The Partner Vendor agrees to maintain the confidentiality of all event-related information, including but not limited to client data and preferences, event schedules, planning tools, and any proprietary business practices.
9. Indemnification
The Partner Vendor agrees to indemnify and hold Somewhere Crazy harmless from any liabilities, claims, or damages arising from the Partner Vendor's services provided in connection with the elopement.
10. Governing Law
These T&Cs shall be governed by and construed in accordance with the laws of Estonia. Any disputes arising under or in connection with these T&Cs shall be subject to the exclusive jurisdiction of the courts in Estonia.
